Anne Grigg

As Of Counsel at De Leon Law, PLLC, Anne’s focus is to advise various companies and individuals on matters related to corporate and real estate transactions, purchase and sale of companies and assets, company formation, capital raises, and governance, all manner of start-up issues, risk management, strategic legal guidance and counsel, and drafting and negotiating all types of agreements. She essentially serves as outside general counsel for a number of companies, counseling them on topics ranging from lease negotiation to complex business transactions.

Although her focus at the firm is advising businesses and individuals in corporate and real estate matters, she has extensive experience in all manner of disputes and litigation as well. Anne has experience in drafting wills and estate documents for individuals. In all situations, Anne seeks to combine her unique experience in both transactional law and litigation to arrive at effective and successful solutions for you.

Anne is an honors graduate of The University of Texas School of Law. She has over twenty years’ experience as a lawyer in central Texas serving first as Senior Counsel at Norton Rose Fulbright for over 15 years and then as Of Counsel at Ashley Thomas & Associates, P.C for close to five years. At Norton Rose, Anne successfully represented some of the largest and most sophisticated companies in the world, including Fortune 100 and Fortune 500 computer, banking, and pharmaceutical and medical device companies. Her practice focused on advising and counseling in-house lawyers, company executives, and internal stakeholders through all aspects of litigation and other business activities. At Ashley Thomas & Associates, P.C., she honed her corporate and transactional skills by performing numerous outside counsel services for a number of local companies as well as drafting and negotiating all manner of agreements ranging from confidentiality agreements to complex asset purchase and corporate acquisition documents.

Outside of work, Anne loves spending time with her family, husband Lane, kids Richard and Lizzie, and black lab, Winnie, including watching their various activities (and driving them back and forth). She also enjoys being outside (when it is less than 100 degrees), spending time on the lake, exercising, cooking with her family, and being with friends.

Transactional Experience:

Represent various groups of real estate investors in purchases of real property and investment assets including legal review of documentation related to debt financing and investments.
Assist start-ups and established companies in raising capital through private stock and share offerings.
Document and coordinate transfer of assets and contracts for major Austin-based technology company and various other businesses.
Draft wills and estate planning documents for individuals.
Represent local telecommunications company in complex asset transfer and acquisition involving real property and personal property and four different entities.
Prepare and negotiate asset purchase agreements for various local hospitality vendors and small business retailers.
Advise companies on various industry regulations, corporate policies, and compliance issues.
Form corporations and LLCs, including drafting company agreements, bylaws, resolutions, and other initiation documentation.
Represent numerous local companies in lease negotiations, purchases of real property, and other real estate transactions.
Direct due diligence review of massive amounts of documents and information to evaluate purchase and sale options.
Draft and negotiate all types of contracts and agreements including but not limited to vendor, consulting, commercial, and general services agreements, non-disclosure and confidentiality, license, privacy, employment, and severance agreements.
Negotiate services provider agreement between individual and billion-dollar family office.

Litigation Experience:

Represent title company in breach of fiduciary duty and contract claims against major underwriter and title plant provider.
Represent individuals and companies in proceedings involving breach of contract, DTPA and/ or RCLA claims.
Represent various global conglomerates in investigations involving potential FCPA violations.
Serve as e-discovery counsel for numerous international and national corporations including financial institutions, computer manufacturers, and pharmaceutical and medical device companies.
Participate as significant player in trials and claims against major pharmaceutical company as national counsel in mass tort litigation related to over-the-counter medications.
Settlement with major restaurant and hospitality company in Central Texas and negotiate resolution of disputes related to various agreements.
Resolve dispute between company providing billing and management solutions for hospital outreach laboratories and software company.
Coordinate litigation and defend alliance of three pharmaceutical companies as national counsel in mass tort litigation, resulting in settlement of numerous claims.
Evaluate and settle thousands of personal injury claims against international medical device manufacturer as national counsel in mass tort litigation.
Defend local computer company in class action involving warranty and contract claims and in lawsuit involving allegations of misappropriation of trade secrets.
Counsel and represent branded pharmaceutical manufacturer in cases involving false advertising claims against generic manufacturers.
Negotiate settlement of numerous claims against manufacturer of radiologic contrast dye in product liability litigation.
